Michelle Stasny
Michelle M. Stasny is counsel in Mayer Brown’s Washington DC office and a member of the Banking & Finance practice. She has experience, in both private practice and as in-house counsel, with a variety of securitization and other structured finance transactions in both the public and private markets.
Michelle also spent nearly a decade at the US Securities and Exchange Commission (SEC) in the Office of Structured Finance. There, she was part of the team that drafted the 2014 Nationally Recognized Statistical Rating Organizations adopting release, and in particular, Rule 15Ga-2, as well as the team that drafted the Regulation AB2 adopting release. After Reg AB2 was adopted, Michelle worked with registrants to comply with the new disclosure requirements prior to the rules’ effective dates as part of the Reg AB2 pilot program. Michelle also provided interpretive guidance to registrants, including staff guidance that was posted on the SEC’s website. Throughout her time at the SEC, Michelle regularly reviewed and issued comments on ABS registration statements, 10-Ks and 10-Ds, and consulted with members of other offices and divisions at the SEC whenever asset-backed securities expertise was needed.
